1. Acceptance of terms

These Terms of Service govern access to and use of the Alpha DigiWallet website, platform, hosted checkout, APIs, dashboards, onboarding flows, refund workflows, payout workflows, settlement tools, and related services made available by Alphastar Solutions FZ LLC under the Alpha DigiWallet brand.

By accessing or using Alpha DigiWallet, a user agrees to these Terms of Service and to the Privacy Policy. If a user is acting on behalf of a company or other legal entity, that user represents that they have authority to bind that entity to these terms.

2. Nature of the service

Alpha DigiWallet presents itself as a merchant payment infrastructure platform supporting merchant registration, hosted checkout, API payment creation, webhooks, refunds, KYB, payout methods, settlements, support, and admin review. The active product surface is described as merchant-focused rather than a consumer wallet offering.

Access to services may depend on onboarding approval, business eligibility, corridor availability, partner readiness, compliance review, technical readiness, and ongoing account standing.

3. Eligibility and accounts

Users may only use Alpha DigiWallet if they can legally enter into binding contracts and are authorized to use the service on behalf of the business they represent. Alpha DigiWallet may require registration, identity verification, business verification, KYB documentation, risk review, or additional due diligence before activating or continuing services.

Users are responsible for keeping account credentials secure, restricting unauthorized access, maintaining accurate information, and promptly notifying Alpha DigiWallet of suspected compromise or misuse.

4. Merchant responsibilities

Merchants and their users are responsible for:

  • Providing accurate and complete onboarding, KYB, account, and operational information.
  • Maintaining lawful business practices and complying with all laws applicable to their products, customers, transactions, and jurisdictions.
  • Using the platform only for approved business activities and not for prohibited, fraudulent, deceptive, sanctioned, or unlawful conduct.
  • Protecting their systems, credentials, webhook endpoints, API keys, and internal workflows.
  • Responding to inquiries, disputes, chargebacks, refund issues, settlement questions, and compliance requests in a timely manner.
  • Alpha DigiWallet may suspend, restrict, decline, or terminate access where it reasonably believes a merchant or user presents legal, compliance, fraud, credit, sanctions, reputational, or operational risk.

5. Hosted checkout and payments

Alpha DigiWallet states that hosted checkout is designed so sensitive card entry stays inside secure hosted payment fields, while the merchant application orchestrates the session and status rather than collecting raw card data directly. Merchants must not misuse hosted checkout, interfere with payment routing, attempt to capture restricted payment data outside approved methods, or misrepresent transaction purpose or merchant identity.

Payment processing, availability, routing, settlement timing, and supported methods may depend on partner availability, corridor support, operating model, compliance review, and technical configuration.

6. APIs, webhooks, and technical use

If Alpha DigiWallet provides APIs, keys, or webhook functionality, merchants must use them only as permitted, follow technical documentation, secure their credentials, validate signatures, and implement reasonable retry and idempotency handling where applicable. Alpha DigiWallet may rotate, revoke, expire, limit, or reissue credentials and may enforce usage limits, environment separation, or security requirements.

Public API documentation may be incomplete or evolving, and implementation details may be updated from time to time.

7. KYB, compliance, and verification

Alpha DigiWallet may require KYB documents, ownership details, licensing information, business descriptions, transaction context, source-of-funds information, payout destination details, and other compliance materials before or during service use. Merchants must cooperate with lawful requests for verification, monitoring, remediation, and ongoing due diligence.

Failure to provide requested information may lead to delays, restrictions, account suspension, payout holds, refusal of transactions, or termination.

8. Refunds, disputes, holds, and reserves

Alpha DigiWallet includes refund workflows, payout workflows, and settlement operations as part of the merchant platform. Alpha DigiWallet may delay, reject, reverse, reserve, offset, or hold amounts where required for refunds, disputes, chargebacks, suspected fraud, error correction, legal process, sanctions review, or risk management, subject to applicable law and contractual terms.

A merchant remains responsible for the underlying legitimacy of its transactions, customer fulfilment, and its own customer-facing policies unless otherwise expressly agreed in writing.

9. Fees and settlements

Fees, commercial terms, minimums, pricing schedules, payout timing, corridor-specific costs, and settlement arrangements may be set out in a separate commercial agreement, order form, proposal, or merchant contract. If there is any conflict between these website terms and a signed merchant agreement, the signed merchant agreement should govern the commercial relationship to the extent of that conflict.

Quotes, pricing pages, and general marketing content do not guarantee eligibility, pricing, volumes, service levels, or settlement methods for every merchant.

10. Acceptable use restrictions

Users must not:

  • Use the website or services for unlawful, infringing, deceptive, abusive, or harmful purposes.
  • Attempt to bypass security, access controls, or platform restrictions.
  • Probe, scan, or test vulnerabilities without authorization.
  • Interfere with other users, systems, networks, hosted checkout, webhooks, or related infrastructure.
  • Upload malware, malicious code, or harmful content.
  • Misuse contact forms by submitting secrets, card numbers, or production credentials.

11. Intellectual property

All website content, software, interfaces, workflows, branding, text, graphics, platform design, and related materials made available by Alpha DigiWallet are owned by or licensed to Alphastar Solutions FZ LLC, unless stated otherwise. These terms do not transfer ownership of any intellectual property rights to users, except for the limited right to use the services in accordance with these terms and any applicable commercial agreement.

12. Confidentiality

Users must keep confidential any non-public information received through the platform or business relationship, including technical documentation, credentials, integration information, pricing, operational processes, and security details, except where disclosure is required by law or permitted in writing.

13. Availability and changes

Alpha DigiWallet may change, suspend, restrict, or discontinue any feature, method, integration, corridor, partner connection, or part of the website or service at any time. Alpha DigiWallet may also update these terms, operational rules, documentation, or onboarding requirements from time to time.

14. Disclaimer

The website and services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. Alpha DigiWallet does not guarantee uninterrupted availability, complete suitability for every merchant, availability in every jurisdiction, or error-free operation of every payment rail, API, webhook, partner route, or settlement model.

15. Limitation of liability

To the fullest extent permitted by law, Alphastar Solutions FZ LLC and its affiliates, officers, employees, contractors, and partners should not be liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages arising from or related to use of the website or services. Any direct liability should be limited to the amount paid by the merchant to Alpha DigiWallet for the relevant service during an appropriate lookback period, unless a signed agreement states otherwise.

16. Indemnity

Users and merchants should indemnify and hold harmless Alphastar Solutions FZ LLC and its affiliates, officers, employees, and agents from claims, losses, liabilities, damages, costs, and expenses arising out of their misuse of the services, breach of these terms, unlawful conduct, violation of rights, or transaction-related liabilities attributable to them.

17. Suspension and termination

Alpha DigiWallet may suspend or terminate access immediately where necessary to protect the platform, comply with law, respond to risk, enforce these terms, or address misuse, non-payment, fraud, sanctions, or security concerns. Upon suspension or termination, Alpha DigiWallet may keep records, disable credentials, preserve logs, and continue necessary compliance, accounting, dispute, or enforcement activities.

18. Governing terms and local law

These terms should be reviewed and finalized by Alpha DigiWallet's legal counsel for the correct governing law, jurisdiction, dispute resolution forum, and any required UAE free-zone wording before publication. Because the operator is Alphastar Solutions FZ LLC, the final public version should align with the entity's incorporation and operating structure.

19. Privacy

Use of the website and services is also subject to the Alpha DigiWallet Privacy Policy. Where Alpha DigiWallet processes personal data, it should do so in accordance with applicable privacy and data-protection requirements.
